Late Form 8832 Entity Classification Election: PLR 202641005 for CPA Firms
A late Form 8832 can leave an LLC stuck in its default federal tax classification for years after formation. When an entity classification election is missed, US CPA firms need a clear map: timely Form 8832 rules, fee-free late relief under Rev. Proc. 2009-41, or a private letter ruling under Treas. Reg. §§301.9100-1 and 301.9100-3. PLR 202641005 (dated July 13, 2026; released October 9, 2026), summarized by Bloomberg Tax on October 13, 2026, shows the third path: the IRS gave an LLC a 120-day extension to file Form 8832 electing corporate tax classification effective from its formation date after the taxpayer showed it acted reasonably and in good faith.
Check-the-box defaults for a domestic LLC
Under Treas. Reg. §301.7701-3, an “eligible entity” that is not a per se corporation can choose its federal classification. For a domestic eligible entity that does not elect otherwise:
- Two or more members — partnership by default.
- Single owner — disregarded as an entity separate from its owner (often reported on the owner’s Schedule C, E or F, depending on the activity).
Form 8832, Entity Classification Election (Rev. December 2013), is how the entity elects association (corporation) treatment, or elects out of a default. A timely Form 2553, Election by a Small Business Corporation, can also trigger a deemed association election under §301.7701-3(c)(1)(v)(C) when the entity qualifies as a small business corporation. An election on Form 8832 is necessary only when the entity wants something other than the default, or wants to change an existing classification.
One trap for single-member LLCs: even when disregarded for income tax, the entity is still treated as separate for employment tax purposes for wages paid on or after January 1, 2009, and for certain excise taxes reported on Forms 720, 730, 2290, 11-C or 8849 after December 31, 2007, as the Form 8832 instructions explain.
Route 1: a timely Form 8832
Section 301.7701-3(c)(1)(iii) and the Form 8832 instructions set the effective-date window:
- The election is effective on the date specified on the form, or on the filing date if none is specified.
- That date cannot be more than 75 days before the form is filed, or more than 12 months after it is filed. Dates outside those bounds are pulled back to the 75-day or 12-month limit.
After a change in classification (other than an election effective on the date of formation), the entity generally cannot change again by election for 60 months. An election by a newly formed eligible entity that is effective on the formation date is not treated as a change for that 60-month rule. Attach a copy of Form 8832 to the entity’s federal return for the year the election is effective (or to an owner’s return if the entity has no return for that year). A valid election is not invalidated solely because the copy was not attached, but penalties may apply for inconsistent or incomplete filing.
Route 2: Rev. Proc. 2009-41 late relief (no letter ruling)
If the intended effective date is still within 3 years and 75 days, Rev. Proc. 2009-41 (2009-39 I.R.B. 439) may supply late entity classification relief without a private letter ruling and without a user fee. Section 4.01 makes an entity eligible when, among other things:
- It failed to get the requested classification (initial or change) solely because Form 8832 was not filed on time;
- Either the first-year return due date for the requested classification has not yet passed, or all required federal returns for all years the election was intended to be in effect were filed consistently with that classification (and no inconsistent returns were filed);
- There is reasonable cause for the late filing; and
- Three years and 75 days from the requested effective date have not passed.
File a completed Form 8832 with the service center shown in the instructions, mark it as filed under the revenue procedure (the instructions and Rev. Proc. 2009-41 say to write “Filed Pursuant to Rev. Proc. 2009-41” at the top when the form itself does not yet carry the declaration), and attach the required declaration and reasonable-cause statement. When the entity qualifies, this procedure is the exclusive route — it replaces the letter-ruling path for that taxpayer.
Route 3: PLR 202641005 and §301.9100 relief
When Rev. Proc. 2009-41 does not fit — for example, because more than three years and 75 days have passed since the intended effective date — the taxpayer may seek an extension under §§301.9100-1 and 301.9100-3. Our 9100 relief guide (PLR 202641003) covers the reasonable-action, good-faith and no-prejudice standards in more detail.
In PLR 202641005, an LLC formed under state law on “Date” intended to be classified as an association taxable as a corporation from that same date, but never filed Form 8832. By letter dated May 5, 2025, it asked for an extension under §§301.9100-1 and 301.9100-3. The IRS concluded the requirements were met and granted an extension of 120 days from the date of the ruling letter to file Form 8832 for association classification effective Date. A copy of the letter must be attached to Form 8832. Relief was contingent on filing, within the same 120 days, all required federal income and information returns (including amended returns) consistent with the requested classification, with a copy of the letter attached to those returns as well.
Bloomberg Tax’s October 13, 2026 summary matches that holding: a 120-day extension to elect corporate classification effective at formation after reasonable cause and good faith for the missed deadline. Under §6110(k)(3), the ruling binds only the requesting taxpayer and may not be used or cited as precedent. Granting more time to elect is also not a determination that the entity is otherwise eligible to make the election.
Preparer checklist for a missed Form 8832
- Confirm the default. Count members on the intended effective date and document partnership vs. disregarded vs. association.
- Calendar the 75-day / 12-month window for any still-timely Form 8832, and the 60-month lock after a change.
- Test Rev. Proc. 2009-41 first if the requested effective date is within three years and 75 days and returns were consistent (or not yet due).
- Escalate to a §301.9100-3 PLR only when the revenue procedure does not apply — and move before the IRS discovers the failure when possible.
- Plan amended returns for every open year that must match the election; see our Form 1040-X amended return lessons for individual-owner cleanups, and keep election calendars tight for new elections such as the section 1062 farmland election.
- Remember employment and excise taxes for disregarded LLCs — income-tax disregard does not erase those separate filing duties.

Frequently asked questions
What is Form 8832 used for?
Form 8832, Entity Classification Election, lets an eligible entity choose its federal tax classification under Treas. Reg. §301.7701-3—typically electing to be treated as an association (corporation) instead of the default partnership (multi-member domestic LLC) or disregarded entity (single-member). A timely Form 2553 can also deem an association election when the entity elects S corporation status.
How late can you file Form 8832 under Rev. Proc. 2009-41?
Rev. Proc. 2009-41 allows late entity classification relief if Form 8832 is filed with the applicable IRS service center within 3 years and 75 days of the requested effective date, the entity meets the eligibility tests (including reasonable cause and consistent returns), and the form is marked as filed under that revenue procedure. Qualifying taxpayers use this route instead of a letter ruling, with no user fee.
What did PLR 202641005 hold?
PLR 202641005 (dated July 13, 2026; released October 9, 2026) granted an LLC a 120-day extension under §§301.9100-1 and 301.9100-3 to file Form 8832 electing association (corporate) classification effective from its formation date, after the taxpayer showed it acted reasonably and in good faith. A copy of the ruling must be attached to Form 8832 and to consistent returns filed within that window.
